CherryHill Records LLC – Digital Music License Agreement

This License Agreement (“Agreement”) is a legally binding contract between you (“Licensee”) and CherryHill Records LLC (“Licensor,” “we,” or “our”) concerning the use of the following musical works:

• “Passport” – CherryHill

• “Circadian Rhythm” – CherryHill

• “Revisionaire” – CherryHill

By downloading or purchasing any of these recordings, you acknowledge that:

• You are obtaining a limited license for personal use only, not ownership.

• You have read, understood, and agreed to the terms of this Agreement.

• The version of this license in effect at the time of your transaction governs your use.

1. Grant of License

Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Download and listen to the Music for private use.

• Store the Music on up to five (5) personally owned devices.

• Use the Music solely for personal enjoyment.

Download is permitted once. Your purchase provides access to a secure, single-use download link valid for 24 hours after your first access. It is your responsibility to download and securely store the file during that period. No re-downloads will be provided.

2. Ownership and Copyright

All intellectual property rights remain with CherryHill Records LLC. You are not purchasing ownership of the music, only a limited license to use it privately. You may not:

• Resell

• Redistribute

• Sample or remix

• Publicly perform

• Upload or stream

• Claim authorship or ownership

• Use the Music in AI, NFT, or any form of reproduction (now or in the future)

3. Prohibited Uses

You agree not to:

• Upload the Music to YouTube, TikTok, Instagram, SoundCloud, Bandcamp, or any streaming platform.

• Use the Music in podcasts, videos, advertisements, games, applications, or any monetized content.

• Burn or distribute copies.

• Embed in any blockchain-based asset or NFT.

• Use in machine learning, AI, voice cloning, or generative remixing platforms.

• Use in radio, television, live performance, VR/AR, metaverse, or similar projects.

• Repurpose the Music into future media formats, technologies, or distribution systems.

This Agreement extends to any future technology or platform not currently known or commercialized.

4. Technological Protection

CherryHill Records LLC may embed metadata, watermarking, or digital rights management (DRM) technology to track usage and prevent abuse. You may not remove, alter, or interfere with these systems.

5. Device Limit

This license covers playback on up to five (5) personal devices. If you exceed this limit, you must delete copies from older devices.

6. Legal Enforcement

Any unauthorized use constitutes copyright infringement under:

• The U.S. Copyright Act

• The Digital Millennium Copyright Act (DMCA)

• The Berne Convention

• World Intellectual Property Organization (WIPO) treaties

Licensor may:

• Issue DMCA takedown notices

• Pursue statutory damages and injunctive relief

• Revoke access to digital products

• Initiate arbitration or legal proceedings

7. Governing Law and Arbitration

This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law principles.

All disputes arising under or related to this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in Pinal County.

You waive:

• The right to a jury trial

• The right to participate in class actions or class arbitration

• The ability to seek injunctive relief outside arbitration

8. Entire Agreement

This Agreement constitutes the entire understanding between you and CherryHill Records LLC regarding the licensed music, superseding all prior agreements or understandings.
