CherryHill Records – Updated Terms of Service

Welcome to CherryHill Records! These Terms of Service ("Terms") govern your access to and use of our website, www.cherryhillrecords.com (“Site”), operated by CherryHill Records (“we,” “our,” or “us”).
By visiting or using the Site, you agree to comply with and be bound by these Terms. If you do not agree, do not use the Site.
1. Authorized Use
You agree to use the Site lawfully and in accordance with all applicable laws and regulations. You must not:
• Attempt to interfere with the proper operation of the Site
• Use the Site to distribute spam, unauthorized promotional material, or malware
• Harvest or scrape personal information from users or systems
2. Intellectual Property
All music, audio previews, text, designs, branding, logos, visuals, and merchandise on this Site are either owned by CherryHill Records or properly licensed. All rights reserved.
You may not:
• Copy, modify, or distribute any content without prior written consent
• Use any content for commercial purposes unless licensed by us
• Upload, publish, or distribute our music or media on any platform (including YouTube, TikTok, Instagram, or similar) without an approved license
3. Music Licensing Terms
All music available on the Site is protected by copyright and is licensed, not sold.
By downloading and purchasing a track, you agree:
• You are receiving a limited license to use that track for personal or approved commercial purposes
• All commercial usage (e.g. for sync, film, advertising, or monetized content) requires a valid commercial license
• You must comply with the terms provided at the time of purchase
• Unauthorized use may lead to immediate revocation of license and potential legal action
4. Merchandise Sales
We sell physical products (e.g., apparel, collectibles) directly through the Site. By purchasing merchandise, you acknowledge:
• Product images are for illustration purposes; slight variation may occur
• All sales are final unless the item arrives damaged or incorrect
• You must contact us within 7 days of delivery for any issue to be reviewed
• We are not responsible for delays due to shipping carriers or customs
5. Email & Name Collection via Popup
When you visit our Site, you may see a popup asking you to provide your email address and/or name in exchange for early access, exclusive offers, or announcements.
By entering your information, you consent to:
• Receiving emails from CherryHill Records regarding releases, products, events, or licensing opportunities
• Having your name and email stored securely in our marketing platform
• The use of that data for customer communications only; we do not sell or rent your data to third parties
You may unsubscribe at any time using the link in any email we send.
6. Payments & Checkout
All purchases are processed through secure third-party platforms (e.g., Stripe, PayPal).
• Pricing and availability are subject to change without notice
• All purchases are final and non-refundable, unless specifically stated
• Any applicable taxes or processing fees will be shown at checkout
7. User Submissions & Collaborative Projects
If you submit demos, music, vocals, or other content through this Site (or directly to CherryHill Records through email or community participation), you acknowledge and agree to the following:
• Your submission does not automatically entitle you to compensation, ownership, or a working relationship with CherryHill Records
• All creative collaborations, licensing, publishing splits, and master rights will be discussed on an individual basis, only if the project moves forward commercially
• CherryHill Records reserves the right to contact you for follow-up discussions if your submission aligns with a potential sync, licensing, or commercial opportunity (e.g., anime, film, streaming, live shows, digital sales, etc.)
By submitting any materials, you grant CherryHill Records a non-exclusive, royalty-free license to evaluate, store, and review your work internally. You retain ownership unless a separate written agreement is signed outlining rights, royalties, or publishing shares.
We are building a community of creatives, and while collaboration is encouraged, business terms are determined only when projects are selected for commercial release. At that time, contributors may receive a share in the master and/or publishing rights (typically between 10%–50%), depending on the scope of participation.
By participating in any collaboration with CherryHill Records, whether by invitation, submission, or partnership, you acknowledge that:
• Creative participation does not constitute an offer of employment, publishing, or guaranteed release
• Rights and revenue splits are formalized through a separate written agreement, if and when a project moves forward commercially
• Final ownership of commercial content (including publishing and masters) is determined on a per-project basis, with contributors typically receiving 10%–50%, depending on their role and scope
Unless otherwise agreed in writing, all submitted or shared collaborative materials are considered non-binding and exploratory in nature. Terms for use, release, or credit are only confirmed once a project is selected for commercial launch.
We reserve the right to decline any submission or collaboration for any reason.
Confidentiality of Unreleased Materials
All demo materials or works-in-progress shared with potential collaborators are strictly confidential. These materials are intended solely for internal review and development under CherryHill Records.
No demo, draft, or session material may be shared, distributed, or posted publicly or privately without our express written permission, regardless of whether a project moves forward commercially.
All files and collaborations are exploratory in nature until a project is approved for release and a formal agreement is signed.
8. Work-For-Hire Projects
From time to time, CherryHill Records may enter into work-for-hire arrangements for commercial services such as production, sound design, writing, or engineering. These are handled independently of our collaborative label model.
Unless specifically agreed to in writing, any work produced under a work-for-hire agreement shall be fully owned by CherryHill Records or the designated client, and no rights (including publishing, master, or residual royalties) shall be retained by the contributing party.
Work-for-hire agreements are made on a case-by-case basis and will always be documented via written contract.
9. Privacy
Our Privacy Policy explains how we collect and use your data, including name and email via our popup forms. By using the Site, you agree to those terms.
10. Site Disclaimer
We provide this Site and its content “as is” with no warranties, express or implied. We do not guarantee:
• That the Site will be error-free, virus-free, or uninterrupted
• That all information provided is accurate, current, or complete
11. Limitation of Liability
To the fullest extent permitted by law, CherryHill Records shall not be liable for:
• Any indirect, incidental, or consequential damages
• Any loss of revenue, profits, data, or business as a result of using the Site or purchasing from us
12. Termination of Access
We reserve the right to suspend or terminate your access to the Site, without notice, for any reason including breach of these Terms.
13. Changes to Terms
CherryHill Records reserves the right to update or modify these Terms of Service at any time to reflect changes in our business, community practices, or legal requirements.
• We will post the updated Terms on this Site with a clear Effective Date at the top.
• For material changes affecting community members, collaborators, or users’ rights (such as licensing, revenue sharing, or submission policies), we will notify registered users via email or through the Site’s communication channels where possible.
• Continued use of the Site after such updates means you accept the revised Terms.
• If you do not agree to updated Terms, you should stop using the Site and services.
• We encourage all users and collaborators to periodically review the Terms to stay informed about any changes.
14. Governing Law
These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any disputes must be resolved in that jurisdiction.
